1. Property and transaction dates

Use the tax basis after depreciation deducted in business income; it may differ from the book value. In-kind holding periods end on incorporation, while the other methods use the transfer date. Expenses included in the tax basis are not deducted again as a tax saving from fee quotes.

2. Net assets and company capital

Net assets = property market value + other asset value − liabilities including provisions. Distinguish share capital from share premium. For statutory business transfer, the proprietor contribution must also meet net assets. Zero or negative net assets require review.

3. Conversion and acquisition-tax requirements

The national rollover application is deemed to include the local-income-tax application under Local Decree Article 73(3). Verify actual filing and receipt. Rental/supply businesses are excluded from acquisition relief, but not automatically from national rollover. Check the statutory consumer-service classification and tourism exceptions.

4. Separate VAT funding review

VAT business-transfer requirements can be satisfied even when income-tax rollover fails. A contract label alone does not establish zero VAT. Ordinary asset sale uses taxable values × 10%. The result is company VAT funding before input credits or refunds, not the seller’s final VAT return. Review input credits, refunds and purchaser payment arrangements separately.

All quotes include VAT and use KRW. Replace these fictional fees with your written quotes. Other costs can include formation registration taxes, bond discounts and additional taxes on equipment or inventory disposal. 6. Plans within the five-year monitoring period

At least 50% share disposal, disposal/non-use of at least half the transferred fixed assets, or business closure can trigger rollover recapture. Disposal or rental of the relieved property separately threatens acquisition relief. Death, bankruptcy, qualifying mergers or succession exceptions and taxes already paid by the company require review before determining actual recapture.

  1. Verify appraised values, adjusted tax basis and net assets including provisions; obtain written quotes for each method.
  2. Complete the statutory business transfer by: 2027-01-06. The same three-month business-transfer condition is not automatically imposed on in-kind contribution.

Dates are review boundaries without holidays, filing extensions or exceptions. For a rollover recapture event, the base national/local payment deadline is two months after the end of the event month. Actual amounts require verification of prior payments and exceptions.

1. Decide how to incorporate and fund the transfer

Moving a Korean sole proprietorship into a company can create personal capital-gains tax, company acquisition tax, VAT funding and appraisal or registration costs.
This calculator compares contribution in kind, statutory business transfer and ordinary asset sale at the moment of conversion.
It separates immediate cash from deferred income tax so that postponing a tax payment is not presented as a permanent saving.

It is useful for an owner of a manufacturing or wholesale business, a proprietor who owns the business premises, or a family planning a company before succession.
Discovering insufficient capital or missing the business-transfer deadline after signing a contract can change the immediate funding requirement substantially.
Use the saved assumptions and results to arrange appraisals and obtain tax and legal review before committing to a method.

South Korea, 2026: the calculation scope

The model covers one business site and one registered, directly used, non-housing, non-farmland property, with land and building sharing an acquisition date.
Other business assets are entered as aggregate market value and a separate taxable VAT value.
Housing, housing rights, unregistered property, non-business land, multiple property transfers and goodwill disposal income require separate review.

2. Enter market values, tax basis and net assets

Property value and acquisition base

Enter the verified property market value transferred to the new company.
The model also uses it as the acquisition-tax base for an ordinary acquisition for consideration.
If the appraisal, contract consideration and statutory acquisition base differ, do not silently substitute one for the others; obtain separate review.

Depreciation-adjusted tax basis

The original purchase price can overstate the acquisition basis of a business building.
Income Tax Act Article 97(3) requires adjustment for depreciation included in business-income deductible expenses.
Use the verified adjusted tax basis, which may differ from book value, and avoid counting the same additional transfer expense twice.

Market-value net assets

Net assets equal property market value plus all other business assets, less total liabilities including provisions.
Book equity or a single loan balance is not a substitute.
Zero or negative net assets remain pending review rather than automatically satisfying the capital requirement.

Capital and proprietor contribution

Registered capital of the new company must meet or exceed the converted site’s net asset value.
Distinguish share capital from share premium and other shareholders’ money from the proprietor’s own contribution.
For statutory business transfer, the existing proprietor’s contribution must also meet net assets.

Other asset value includes inventory and equipment for the net-asset calculation.
Enter the VAT-exclusive taxable portion separately and exclude exempt land or assets from that portion.
The model does not automatically calculate business-income or other-income tax on equipment, inventory or goodwill disposal; include separately verified additional taxes in the other-cost quote where necessary.

3. Rollover requirements for the two conversion methods

Restriction of Special Taxation Act (RSTA) Article 32 permits rollover for a resident converting qualifying business fixed assets into a company through contribution in kind or the statutory business-transfer method.
Housing and rights to acquire housing are excluded, as are statutorily defined consumer-service companies.
Check the actual hotel, inn or entertainment-bar classification and applicable tourism exceptions rather than relying on an industry label alone.

For net assets of KRW 600,000,000, capital of KRW 599,999,999 fails even though the shortfall is only one won.
A statutory business transfer also fails the contribution test when the proprietor contributes less than net assets, even if total company capital is sufficient.
Incorporation on 2026-10-06 gives a three-month review deadline of 2027-01-06; transaction inputs remain limited to the verified 2026 rule year.
The business-transfer three-month condition is not automatically imposed on contribution in kind.

4. Reference capital-gains tax and deferred tax

Calculation for a single non-housing business property

  1. Gain = market value − adjusted acquisition tax basis − additional recognized expenses; a loss produces zero tax in this single-asset model.
  2. The long-term holding deduction starts at 6% for 3 completed years, rises by 2 percentage points per completed year and reaches a 30% ceiling at 15 years.
  3. Taxable base = gain − long-term deduction − the KRW 2,500,000 basic allowance, with a zero floor.
  4. Apply the ordinary 6–45% progressive schedule; for non-housing short holdings, compare it with 50% below one year or 40% from one to below two years and use the higher tax.
  5. Reference local income tax equals 10% of the corresponding national calculated tax under the standard schedule.

Rollover is not a permanent exemption.
Under RSTA Article 2(1)(6), the company later disposing of the asset bears the amount corresponding to the proprietor’s original capital-gains calculated tax as corporate tax.
When the requirements are assumed satisfied and a joint application is planned, national and local amounts move from immediate cash to the deferred columns.
Without an application plan, the model includes the income taxes immediately even for a potentially qualifying conversion.

Restriction of Special Local Taxation Act Article 120 and its Enforcement Decree Article 73 provide the local-income-tax rollover basis.
The proviso to Article 73(3) deems the national rollover application to include the local application.
A separate repeat application is therefore not always required, but actual submission, receipt and local processing still need verification.
Displayed whole-won rounding is for budgeting; payment rounding, credits and prior payments are excluded.

5. The 50% acquisition reduction and ancillary taxes

Local-tax relief Act Article 57-2(4) grants a 50% acquisition-tax reduction for qualifying business fixed assets acquired through the Article 32 conversion methods by 2027-12-31.
Real-estate rental and supply businesses are excluded; the verified current reduction is 50%, not 75%.
The model uses the ordinary non-farmland acquisition principal rate of 4%.
Metropolitan or factory surcharges and differing local ordinance rates are outside scope and keep the final acquisition budget pending until the standard-rate scope is confirmed.

With reduction r = 0 or 0.5

  • Acquisition principal = base × 4% × (1 − r)
  • Local education tax = base × (4% − 2%) × 20% × (1 − r) = base × 0.4% × (1 − r)
  • Ordinary rural development tax = base × 0.2% × (1 − r)
  • Rural development tax on relief = reduced acquisition principal × 20%

A KRW 1 billion property without relief incurs KRW 40,000,000 principal, 4,000,000 education tax and 2,000,000 ordinary rural tax: KRW 46,000,000 in total.
With 50% relief, the figures are KRW 20,000,000 principal, 2,000,000 education tax, 1,000,000 ordinary rural tax and 4,000,000 rural tax on the relief, totaling KRW 27,000,000.
The principal reduction is KRW 20,000,000, while the ancillary-inclusive reduction is KRW 19,000,000.
Special rural-tax exemptions are not automatically assumed for this ordinary non-housing case.

A rental/supply industry selection removes acquisition relief without automatically removing national income-tax rollover.
The acquisition conversion requirements are also distinct from the income-tax application-plan checkbox.
Opting out of that application does not by itself make the acquisition reduction disappear.

6. Review comprehensive business-transfer VAT separately

VAT Act Article 10(9)(2) and Enforcement Decree Article 23 treat a qualifying comprehensive transfer of a site’s business rights and obligations as not constituting a supply of goods.
Certain legally permitted exclusions, including receivables and payables, mean this is a separate analysis from RSTA rollover.
A contract described as comprehensive business transfer is not enough to establish zero VAT.

Insufficient capital can coexist with qualifying VAT treatment

Income-tax rollover can fail because capital is below net assets, while the statutory VAT business transfer still qualifies.
Conversely, contribution in kind does not automatically establish the VAT exclusion.
Select unverified, qualifying statutory business transfer, or taxable asset supply independently for each conversion method.

For taxable supply, add VAT-exclusive taxable building and other asset values and multiply by 10%, leaving exempt land out.
A taxable building value of KRW 300,000,000 gives company VAT funding of KRW 30,000,000.
This is neither the seller’s final return liability nor the company’s permanent cost after input credits.
Check purchaser payment arrangements, tax invoices, credit eligibility and the timing of any refund separately.

7. Interpret fee quotes and the immediate cash total

Appraisal procedures, tax filings, legal work and registration schedules can differ by conversion method.
Enter written appraisal, professional and other-cost quotes including VAT.
The initial fees are fictional examples, not market averages or statutory fixed professional charges.
An entered zero means the quote is zero; it does not establish that the service is free.

Immediate cash within the comparison scope

Add the proprietor’s immediate national and local income taxes, the company’s acquisition principal and ancillary taxes, company VAT funding, and the method’s quoted costs once each.
Asset purchase consideration, company capital and assumed-debt repayment are excluded from this tax-and-procedure budget.
For separate personal and company funding plans, combine this review with the purchase-price, borrowing and debt-transfer schedule.

Cash reduction versus ordinary sale combines deferred tax, acquisition-tax differences, VAT funding differences and differences in quotes.
Do not treat the full reduction as a lifetime tax saving.
Deferred tax can become payable later, and VAT credit eligibility or refund timing can change the eventual net cost.

8. Worked example: a KRW 1 billion factory

Assume a factory acquired on 2016-10-06 is converted on 2026-10-06 at KRW 1 billion market value with a KRW 400,000,000 adjusted tax basis and no additional transfer expenses.
Liabilities are KRW 400,000,000; net assets, capital and proprietor contribution are each KRW 600,000,000, with no other assets.
The taxable building value is KRW 300,000,000, and both conversion methods satisfy the separate statutory VAT business-transfer rules.

KRW 600,000,000 gain − KRW 120,000,000 long-term deduction at 20% for ten years − KRW 2,500,000 allowance gives a KRW 477,500,000 tax base.
National tax = 477,500,000 × 40% − 25,940,000 = KRW 165,060,000.
Local income tax is KRW 16,506,000, producing KRW 181,566,000 in combined immediate or deferred reference income tax.

Unverified net assets, conversion eligibility, acquisition-rate scope or VAT facts keep the affected total pending.
A known failed requirement instead gives zero deferred tax and moves the relevant ordinary income-tax reference into immediate cash.
Saving the review does not submit a rollover application, request acquisition relief or complete company registration.

10. Five-year monitoring and recapture risks

Income rollover and acquisition relief have different starting dates

National rollover monitors business closure or disposal of at least 50% of conversion shares within five years from company incorporation registration.
Disposal or non-use of at least half the transferred fixed assets can count as business closure.
Acquisition relief separately monitors closure, property disposal including rental, and share disposal within five years from acquisition of the property.
A disposal below the half-assets threshold can therefore still threaten acquisition relief.

A share-disposal plan of 49.99% differs from 50% under the ordinary rollover threshold.
Review the statutory scope of transfers, including gifts and relevant capital reductions, not just cash sales.
Death, bankruptcy, qualifying mergers, rehabilitation or special succession arrangements can create exceptions that require case-specific verification.
The warnings are review signals under the ordinary rules, not final recapture assessments.

The base national/local rollover recapture payment deadline is two months after the end of the month in which the triggering event occurs.
Amounts already paid by the company must be excluded when determining the actual balance.
Displayed three-month and five-year boundaries do not adjust for holidays, extensions, exceptions or actual filing receipt.

Is incorporation rollover a capital-gains exemption?

No.
It postpones the proprietor’s tax while the company later bears the corresponding original tax when disposing of the asset.
Separate immediate funding reduction from permanent savings.

Can capital be slightly below net assets?

The model assumes eligibility only when capital meets or exceeds net assets.
A one-won shortfall fails the test, and statutory business transfer also requires a separate proprietor contribution check.

Does comprehensive transfer mean zero income tax and VAT?

Income-tax rollover and statutory VAT business transfer have independent requirements.
Failure of capital or the three-month condition can make income tax payable immediately while qualifying VAT treatment remains possible.

Should I use a 75% or 50% acquisition reduction?

Article 57-2(4), verified on 2026-10-06, specifies 50%.
Check the 2027-12-31 acquisition sunset and the rental/supply industry exclusion as well.

Can a real-estate rental business use this model?

Rental or supply status does not automatically exclude national rollover, but acquisition relief is excluded.
Housing, rights and other excluded assets remain outside this calculator’s property scope.

Must local-income-tax rollover always be requested again?

The Article 73(3) proviso deems the national rollover application to include the local application.
